Exercise of Options, etc

Sopheon plc ('the Company') announces that:-

Pursuant to the exercise of options under the Employee Share Options Scheme it
has allotted 20,000 Ordinary Shares of 5p each in the Company to an employee;
and

Pursuant to an agreement with consultants dated 30 March 1999, it has allotted
45,000 Ordinary Shares of 5p each in the Company to such consultants in
respects of services rendered to the Company. 

The above shares rank pari passu in all respects with the existing Ordinary
Shares in the Company.  Application has been made to the London Stock Exchange
for permission to trade these shares on AIM and it is expected that dealings
will commence on Tuesday, 25 April 2000.
