                           Block Listing Application



Application has been made to the UK Listing Authority and to the London Stock
Exchange for a Block Listing of 500,000 Ordinary Shares of 25p each in the
Company. The Block Listing shares are to be issued in respect of the Company's
Share Option Schemes. These shares, when issued, will rank pari passu in all
respects with the existing issued Ordinary Shares of Spirax-Sarco Engineering
plc.
