                  Spirax-Sarco Engineering PLC (the 'Company')

                           Block Listing Application


Application has been made to the UK Listing Authority and to the London Stock
Exchange for a Block Listing of 500,000 Ordinary Shares of 25p each in the
Company. The Block Listing shares are to be issued in respect of the Company's
Share Option Schemes (Spirax-Sarco Engineering 1992 UK Share Option Scheme
(35,038 shares), Spirax-Sarco Engineering 1992 Overseas Share Option Scheme
(186,741 shares), Spirax-Sarco Engineering Approved Share Option Scheme (19,322
shares) and Spirax-Sarco Engineering Global Share Option Scheme (258,899
shares)). These shares, when issued, will rank pari passu in all respects with
the existing issued Ordinary Shares of Spirax-Sarco Engineering plc.
