Share dealings by a director of Spice plc ("Spice" or "the Company")
The Company has been notified on 8 December 2008 by Simon Rigby, Chief Executive Officer of Spice, that 25,000,000 ordinary shares of 2 pence each held in Trust have been granted as Security against bank loans made to the Trust. This security was effected on 5 December 2008.
This announcement follows the announcement on 4 April 2008 related to the Trust, the ultimate beneficiaries of which are Simon Rigby's minor children (upon reaching the age of 18). Simon Rigby is a trustee but not a beneficiary of the Trust. The granting of this security has not given rise to the disposal of any shares, nor has control of the voting rights in respect of these shares changed. Voting rights remain vested in the trustees.
Spice shares owned directly by Simon Rigby, and also shares held within his pension scheme, totalling 3,753,435 shares do not form part of this arrangement and there is no charge or security over them.
Simon Rigby's shareholding in Spice, including family interests and connected parties, remains unchanged and totals 28,753,435 shares (representing approximately 8.2 per cent of the ordinary issued share capital of the Company). Of this total shareholding, 25,000,000 shares are secured as explained above.
This notification has been made for the purposes of DTR 3.1.4R(1)(a). The granting of security took place in Leeds.
