Grant of 2016 Long Term Incentive Plan awards
Spire Healthcare Group plc (the "Company") announces that, on 30 March 2016, performance share awards (the "Awards") were granted over the Company's ordinary shares in the form of nil cost options to the following Director and Person Discharging Managerial Responsibilities in the Company, under the rules of the Spire Healthcare Group plc Long Term Incentive Plan.

The number of shares set out above is the maximum number which may vest under the Awards following the cessation of the performance period. The actual number of shares which vest will depend on the extent to which the following performance conditions have been satisfied.
The performance conditions applicable to the Awards will be based half on relative total shareholder return (TSR) performance and half on adjusted earnings per share (EPS) performance.
The share price used to determine the number of shares under the Awards was £3.542 being the average of the middle market quotation at close of business over the last five dealing days ending on 29 March 2016.
No Award has been made to Rob Roger who is stepping down from the Board and leaving the Company on 30 June 2016, which was announced on 14 March 2016.
