Spire Healthcare Group plc (the "Company")
On 1 April 2016, the following Directors exercised the first tranche of their vested Directors' Share Bonus Plan awards (the "Awards") over ordinary shares in the Company. The Awards were granted in the form of nil-cost options to Simon Gordon, Rob Roger and Garry Watts on 4 July 2014, prior to the Company's Admission to the London Stock Exchange.
Based on the average share price on the first anniversary of Admission, the Awards partially vested and became exercisable on 23 July 2015.

Each Director sold sufficient shares to cover their Income Tax and NIC liabilities and Garry Watts also sold an additional amount. Each Director has retained the balance of their Awards.
