TRANSACTIONS BY DIRECTORS AND PDMRS

DISCLOSURE PURSUANT TO DISCLOSURE AND TRANSPARENCY RULE 3.1.4R(1)(a)

(1) SHARESAVE MATURITIES

On 1 October 2009, the undernoted Director/PDMRs were allotted shares at a price of £6.22  

per share following their exercise of options under the Company's all-employee savings-related share option scheme. 

The interests of the Director/PDMRs of the Company in the transaction were as follows:

(2) IRISH SHARE INCENTIVE PLAN

The Company was notified on 30 September 2009 by HBOS Employee Equity Solutions, the administrator of this Plan, of the following purchases on 30 September 2009 in the Company's ordinary shares.

(a)    that 2,110 shares were purchased and allocated at £11.7279 per share using participating employees' net salary ('Partnership and Excess Shares').

(b)    that the Company matched the Partnership Shares purchased by employees and allocated a further 1,300 shares at £11.7279 per share ('Matching Shares'). The Company gives employees 1 Matching Share for each Partnership Share bought by them up to a maximum of 6 Matching Shares per employee, each month.

The purchase, referred to above, was made pursuant to a regular standing order instruction with HBOS Employee Equity Solutions for the quarterly purchase of Partnership Shares.

The Company is obliged to disclose the following transaction by Paul Dowling, PDMR:

(3) PEP REINVESTMENT

The Company was notified on 1 October 2009 of dividend re-investments by the manager of a PEPs held by Ian Marchant and Colin Hood pursuant to regular standing order instructions. Ian Marchant acquired 31 shares and Colin Hood acquired 94 shares at a price of £11.75 per share on 30 September 2009.
