St. James's Place plc ("SJP plc")

SJP  plc was notified on 28 March 2008 of the following changes in interests  in
ordinary  shares of 15p in SJP plc held by the executive Directors  and  Persons
Discharging Managerial Responsibilities ("PDMR") named below.

On  28  March  2008, the executive Directors and PDMRs named below were  granted
options under the SJP plc Sharesave Share Option Scheme 2000 to acquire ordinary
shares of 15p each in SJP plc at an exercise price of 213p per share as set  out
below:

On  26 March 2008, Ian Gascoigne`s option over 2,554 ordinary shares (granted on
23  March  2007)  under  the  SJP plc Sharesave Share  Option  Scheme  2000  was
cancelled.

With  the  exception of the changes notified in this announcement, the interests
in  the ordinary shares of the Company of the Directors and PDMRs set out above
are unchanged.

This  notification  is made in accordance with Disclosure and Transparency Rule
3.1.4R(1)(a).
