St. James's Place Capital plc ('SJPC')

Viscount Weir, a director of SJPC, notified the Company on 7 April 2000 that
he has accepted the Partial Offer made by Halifax plc in respect of 3,745
shares of 15p each at 300 pence each. The Partial Offer is conditional on
Halifax obtaining an aggregate holding of more than 50 per cent of SJPC
shares, approval by SJPC shareholders, the acquisition by Halifax of the SJPC
shares to be acquired directly from Prudential plc becoming wholly
unconditional, SJPC optionholders approving the changes to the rules of the
SJPC option schemes, and regulatory approval.
Following the acceptance by Halifax and the Partial Offer becoming
unconditional, Viscount Weir will have no interests in the ordinary shares of
SJPC.
