Directors' Notification of Dealing in Shares

St. James's Place Capital plc ('SJPC')

Anthony Loehnis, a director of SJPC, notified the Company on 13 April 2000
that, on that date, he has accepted the Partial Offer made by Halifax Group
plc in respect of 6,000 SJPC shares of 15p each at the Partial Offer price of
300 pence each.  The Partial Offer is conditional on Halifax obtaining an
aggregate holding of more than 50 per cent of SJPC shares, approval by SJPC
shareholders, the acquisition by Halifax of the SJPC shares to be acquired
directly from Prudential plc becoming wholly unconditional, SJPC optionholders
approving the changes to the rules of the SJPC option schemes, and regulatory
approval.

Following the acceptance by Halifax and the Partial Offer becoming wholly 
unconditional, Anthony Loehnis will have the following interests in the
ordinary shares of SJPC:

Beneficial:              4,000

His interests in options to subscribe for ordinary shares of SJPC are
unchanged.
