Staffline Recruitment Group plc ('the Company')
Transaction in shares by director
On 12 April 2005 funds managed by ISIS Equity Partners plc, the UK private
equity arm of F&C Asset Management plc, transferred 218,619 ordinary shares of
10p each in the issued share capital of the Company to Andrew John Hogarth. The
transfer has been made in full and final settlement of Andrew John Hogarth's
entitlement under an option agreement entered into dated 1 December 2004 in lieu
of certain payments due to him under the Staffline Executive Bonus Scheme,
details of which were set out in the Company's admission document to the
Alternative Investment Market of the London Stock Exchange dated 1 December
2004.
Following the transfer Andrew John Hogarth will hold 3,068,629 ordinary shares
in the Company representing 14.7% of the issued share capital. All of these
shares are subject to the terms of the Orderly Market Agreement signed by the
Directors of the Company on Admission of the shares to trading dated 1 December
2004.
