SUTTON HARBOUR HOLDINGS PLC ("The Group" and "The Company")

CHANGE OF AUDITOR

Sutton Harbour Holdings Plc announces that the Board has appointed BDO LLP ("BDO") as auditors of the Company and its subsidiaries.

Following significant change in the structure of the Group, after exiting aviation transport activities, the Board (on the recommendation of the Audit Committee) decided that it was appropriate to put the Group audit out to competitive tender, and BDO was successful in this selection process.

In accordance with Section 519 of the Companies Act 2006, PriceWaterhouseCoopers LLP has deposited with the Company a statement confirming that there are no circumstances in connection with resignation as auditor that should be drawn to the attention of the Company's shareholders or creditors.
