Acquisition of Assets
Further to our announcement of 17 August 2007, Synchronica plc (AIM: SYNC.LN),
the mobile synchronisation and device management company, announces that it has
exercised its option to acquire substantially all intellectual property (IP)
assets and license contracts of David Rauschenbach t/a GoodServer, a provider of
e-mail enablement and integration technologies.
As previously stated, Synchronica bought an option to 31st October 2007 (the
"Call Option") to acquire the IP assets. The consideration for the Call Option
was £75,000 satisfied in cash. Synchronica has now exercised the Call Option for
a consideration of £125,000 payable in cash plus £300,000 payable in 3,870,968
new ordinary shares of 1p each at a price of 7.75p per share ("Consideration
Shares"). The Considerations Shares, which will rank pari passu with the
existing ordinary shares, are expected to commence trading on 31 October 2007.
The IP acquired is an integral part of Synchronica's Mobile Gateway, the Push
Email and synchronisation solution, enabling mobile email for mass-market mobile
phones. Under the terms of the agreement, Synchronica will be the sole owner of
GoodServer's IP and will have the benefit arising from all licenses previously
granted. Licensees of GoodServer's IP include industry players such as Nokia
Intellisync, AxisMobile, Teamware, Cisco and others.

Synchronica's key assets which can lead to substantial business for the Company.
We intend to continue and develop the relationship with existing licensees of
GoodServer's IP and to offer licenses to other major players in the industry".
