         Result of Extraordinary General Meeting


The  Board  of  Quadrant  Group PLC  ('the  Company')  is
pleased  to  announce  that at the Extraordinary  General
Meeting  ('EGM') of the Company, held at 10.00 am  on  27
September 1999, Resolutions were duly passed to approve:-

i)   the disposal of the Company's Flight Training Assets
     on  the  terms  of the agreement dated 10  September
     1999  ('the Disposal') as described in the  circular
     to  shareholders of the Company dated  10  September
     1999 ('the Circular'); and

ii)  the redemption of the convertible loan stock and the
     issue  of  warrants to subscribe for  the  Company's
     ordinary  20p shares to a related party as described
     in the Circular.

The  Disposal  was  conditional upon gaining  shareholder
approval  at  the  EGM  and the  Company  is  pleased  to
announce  that following the EGM and as at  27  September
1999 the Disposal has been successfully completed.
