RESULT OF EGM
The Board is pleased to announce that at the EGM held earlier today, the
resolution to grant the directors authority to allot shares under section 80 and
89 of the Companies Act was passed. This allows the Placing of new ordinary
shares as announced on 26 January 2004 to be effected.
Following the EGM a board meeting was held at which 2,652,500 new ordinary
shares were allotted. Application has been made for these shares to be admitted
to AIM and admission is expected on 19 February 2004. It is anticipated that a
further 378,868 new ordinary shares will be allotted at a further board meeting
to be held tomorrow and that these shares will be admitted to AIM on 20 February
2004.
Completion of the acquisition of Look Closed Circuit TV Limited is anticipated
on 20 February 2004, A further announcement will be made at the time.
As announced on 26 January 2004 Jean-Marc Cangardel and Jeremy Taylor have today
formally tendered, and the Board has accepted, their resignation as directors of
the Company, with effect from 31 March 2004.
