Total Voting Rights

In conformity with the Financial Services Authority's Disclosure and Transparency Rules the Company's issued share capital as at 30 April 2010 consistsof 6,013,480 ordinary shares of 25 pence each. The Company holds a totalof 471,080 shares in Treasury and, therefore, the total number of voting rights in the Company is 5,542,400.

The above figure (5,542,400) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under theFinancial Services Authority's Disclosure and Transparency Rules.
