Sale of Shares out of Treasury

Taylor Woodrow plc ('the company') announces that on 26 May 2005 it transferred
an aggregate of 61,044 of its 25p ordinary shares, which were held as Treasury
shares, to employees exercising share options, at prices between 181 pence per
share and 127.23 pence per share.

Following the transfer of these shares, the company now holds 19,053,380 shares
as Treasury shares and has 569,166,885 ordinary shares in issue (excluding
treasury shares).
