The purpose of the EGM is to consider a resolution to change the name of the Company. The Board considers that in view of the Company's continued progress, it is appropriate to complete the transition process begun in 2005 and put an effective structure in place to ensure the company is both focused on shareholder interests and strategic direction, as well as the important day to day management of a technology and recycling business. To this end, the Board intends to transfer the business and assets of the Company to an existing subsidiary to look after the day to day interests of the business, while the PLC Board continues to focus on the interests of the shareholders and the strategic direction of the business as a whole, as well as monitoring and reviewing the performance of the operating boards. The Board is therefore proposing that as from January 1st 2007 the parent company is renamed The TEG Group PLC, which will have two 100% owned subsidiaries, TEG Environmental Ltd and The Natural Organic Fertiliser Company Ltd. TEG Environmental Ltd will become the principle operating company and the Natural Organic Fertiliser Company Ltd will be a marketing company, focused on the development of compost markets. Plant economics are predominantly driven by the gate fees charged, rather than the value of the end product (compost). The TEG process is an economic alternative to landfill. The Silo Cage system, one of the few technologies in Europe capable of treating this waste, is a natural process producing compost as an end product, used as an excellent soil conditioner that fertilises, retains moisture, provides structure and reduces the incidence of plant disease. TEG's Silo-Cages are housed in self-contained buildings, are not unsightly and are environmentally friendly. Customers include local authorities, waste management companies, food processors, farmers and landowners. The Company's expanding market is driven by increasingly stringent EU and UK legislation regulating the treatment and disposal of organic waste. Statutory targets for the diversion of waste from landfill increase annually through to 2020, increasing TEG's market opportunity year on year. The Waste Resource Action Programme estimates that 450 composting plants will be needed by 2020 to satisfy local authority requirements alone, and there is increasing demand from the private sector driven by ABP legislation.
