Tesco PLC - DIRECTORS' / PDMR SHAREHOLDINGS

On 25 February 2010 the persons below exchanged their nil cost option / conditional awards over Ordinary Shares of 5p in Tesco PLC ("the Company") set out in the tables below for an equivalent number of Restricted Shares, on similar terms, under the Company's Executive Incentive Plan 2004 ("EIP"), Performance Share Plan 2004 ("PSP"), Tesco Executive Incentive Scheme ("TEIS") and Group Bonus Plan ("GBP").  These shares will be held by The Tesco Employees' Share Schemes Trust or The Tesco International Employee Benefit Trust on behalf of the participants.

Each participant has sold a portion of his shares to satisfy the income tax and employee national insurance due at the point of exchange at a share price of 416.175 pence.

The net number of shares subject to award will be increased to reflect the dividends that would have accrued on the shares which ultimately vest had they been reinvested in shares in the period between award and release.
