DISCLOSURE OF INTEREST IN SHARES

The Company was informed on 23 April 2002 that Lehman Brothers International
(Europe) had an interest in 576,808,551 Ordinary shares of 5p each of the
Company. This represents 8.32% of the share capital of the Company.

The Company has been advised by Lehman Brothers (Europe) that their interest
results from a short term stock lending transaction. Lehman Brothers (Europe)
have informed the Company of their intention to unwind this position over the
next few days.
