Annual General Meeting held on 28 November 2022

The European Smaller Companies Trust PLC (the 'Company') announces that at the 32^nd Annual General Meeting held earlier today all resolutions proposed were duly passed on a show of hands. This included three items passed under a special resolution:

-  to authorise the directors to allot up to 5% of the issued ordinary share capital without first offering them to existing shareholders in accordance with statutory pre-emption procedures;

-  to authorise the Company to make market purchases of its own ordinary shares up to 14.99% of the issued share capital at the date of the passing of the resolution;

-  to hold general meetings other than an annual general meeting on not less than 14 clear days' notice.

The Company further confirms that Mr Alexander Mettenheimer has retired as a director of the Board.

A copy of the special business resolutions will be submitted to the National Storage Mechanism ("NSM") and will shortly be available for inspection on the NSM's website at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism .
