The Evolution Group PLC 2006 Performance Share Plan ("Performance Plan")

The following awards of ordinary shares in the capital of the Company have been
made to directors of the Company under the Performance Plan:

These awards are in satisfaction of the Company's commitment, set out in the
letter from the Chairman to shareholders dated 28 April 2006 accompanying the
notice of the 2006 Annual General Meeting, to make awards of shares to executive
directors of the Company subject to achievement of share price growth in a three
year period commencing on 1 April 2006. One-third of the award shares will vest
if the average share price over any period of 60 consecutive days from 1 April
2006 to 31 March 2009 equals or exceeds £2.13 and the remaining two-thirds of
the award shares will vest if that average share price over that same
measurement period equals or exceeds £2.84.
