Directors' Interests

The Evolution Group Plc (the "Company") has received notification from
Evolution EBT Limited as Trustee of The Evolution Group Plc Employees'
Share Trust (the "Trust") (a discretionary trust of which all employees
of The Evolution Group Plc and its subsidiaries are beneficiaries) that on 7 
January 2008 625,000 ordinary shares of 1p each in the Company ("the Sale 
Shares") were sold or transferred on behalf of persons who had exercised call 
rights, options and rights over ordinary shares of 1p each in the Company 
("Shares") held in the Trust.

None of the Shares referred to above were directly transferred or sold to or on
behalf of any of the executive directors (the "Directors") of the Company.
However, each of the Directors is a member of the class of discretionary 
beneficiaries of the Trust and is consequently taken to have an interest in all
the Shares held in the Trust.  As a consequence of the vesting of the 
aforementioned Sale Shares to persons other than the Directors, the Directors 
have ceased to be interested in those Shares.

As at 7 January 2008, the Trust held a total of 13,375,058 Shares, representing
approximately 5.99% of the Company's issued share capital.
