Transactions in own shares

                              Evolution Group plc

The Evolution Group Plc ("the Company") announces that on 6 June 2005 it
purchased 6,533,524 Ordinary 1p Shares ("Shares") in the Company at £1.2275 per
share. The Shares purchased by the Company were purchased for cancellation.

The Company also announces that on 6 June 2005 Evolution EBT Limited as Trustee
of The Evolution Group Plc Employees'  Share Trust ("the Trust")(a discretionary
trust of which all employees of The Evolution Group Plc and its subsidiaries 
are potential beneficiaries) purchased 3,242,443 Shares in the Company at
£1.2275 per share.

The Executive Directors are deemed for Companies Act purposes to be interested
in all Shares held by the Trust.

The Trust now holds a total of 7,275,807 Shares representing 3.28% of the
Company's issued share capital.
