Terrace Hill Group PLC (the 'Company')

The Company has today issued to applicants pursuant to the Open Offer which
closed on 19 September 2002 whose applications were received shortly after the
closing date 13,255 new ordinary shares of 2p each nominal value at a price of
12.65p each.

These shares will rank in all respects pari passu with the existing ordinary
shares in the capital of the Company. Application is being made for admission of
these shares to trading on AIM and dealings are expected to commence on 10
October 2002.
