T&G AIM VCT plc - 'C' Share issue
RESULTS OF EXTRAORDINARY GENERAL MEETING
T&G AIM VCT plc ('the Company') announces that, at the Extraordinary General
Meeting of the Company held earlier today, the Ordinary Resolution regarding the
arrangements relating to the costs of the 'C' Share Offers as set out in the
Sponsorship Agreement, the approval of the Sponsorship Agreement itself and the
amendments to the Management Agreement was passed.
The Special Resolution regarding: the increase in share capital by the creation
of 6,000,000 'C' Shares of 1 pence each in the capital of the Company; the
directors authority to allot relevant securities pursuant to Section 80 of the
Companies Act 1985; the disapplication of statutory pre-emption rights in
accordance with Section 95 of the Companies Act 1985; the amendments to the
articles of association; the authorisation for the Company to make market
purchases of 'C' shares and Ordinary shares within the meaning of Section 163
(3) of the Companies Act 1985 and the cancellation of the amount standing to
the credit of the share premium account of the Company in respect of the 'C'
Shares and the Ordinary Shares was also passed.
