                        TOREX RETAIL PLC (the 'Company')

                               BOARD APPOINTMENT

Torex Retail plc, one of the UK's leading retail software businesses, today
announces the appointment of Mark Pearman to the Board as Chief Executive
Officer, with effect from 1st May 2004. Mark will be responsible for the
management of the Company's operations and will assist Robert Loosemore,
Executive Chairman, with implementing the Company's strategy of organic and
acquisition led growth.

Mark Pearman ACA, aged 42, is an experienced manager with a proven track record
in the development of software businesses. From 1998 to 2003, he served on the
board of Torex PLC in a number of executive positions, including chief
executive, finance director and business development director. During this time,
Mark was heavily involved in shaping the strategy of the Torex Retail business,
then a division of Torex PLC, and in particular identified and completed the
acquisition of Logware, the Company's German subsidiary. Prior to joining Torex
PLC, he was the finance director of the IT Products & Services Division of
Tarmac PLC. Mark currently serves as a non-executive director of Civica PLC, an
AIM quoted company supplying application software and services to the public
sector market.

The Company also announces that it continues to trade strongly and in line with
expectations with a high level of revenue visibility. The Directors believe that
the Company's strategy will enable it to sustain its growth in the future.

Finally, the Company announces that Dr Colin Wall has stepped down as a senior
Non-executive Director, having assisted with the successful transition of the
Torex Retail business from a division of Torex PLC to an independent company.
The Directors thank him for his support. The Company intends to appoint two
further Non-executive Directors in the near future.

Commenting on the appointment of Mark Pearman, Robert Loosemore, Executive
Chairman, said:
