                           Posting of Offer Document

Torex Retail Plc ('Torex Retail') has today posted the offer document for the
recommended offer by Evolution Securities Limited ('Evolution') on behalf of
Torex Retail for XN Checkout Holdings PLC ('XN Checkout'), which was announced
on 10 June 2005 (the 'Offer'). Torex Retail has also published today an
equivalent document in relation to the Offer pursuant to paragraph 1.2.2R(2) of
the Prospectus Rules published by the Financial Services Authority. The first
closing date of the offer is 29 July 2005.

In addition, an extraordinary general meeting of the members of Torex Retail has
been convened in connection with the Offer by means of a circular posted today
to the shareholders of Torex Retail. The extraordinary general meeting will be
held at the offices of Torex Retail, Telfer House, Range Road, Witney,
Oxfordshire OX29 0XN at 11:00 am on 27 July 2005.

for use by holders of the ordinary shares in XN Checkout held in certificated
form are available, free of charge, at the offices of Torex Retail referred to

shares in XN Checkout should not accept the Offer except on the basis set out in
