                    Results of Extraordinary General Meeting



The Board of Torex Retail plc ('Torex Retail') announces that, at the
Extraordinary General Meeting of Torex Retail held today, the resolutions
proposed to enable Torex Retail to implement the offer made by Evolution
Securities Limited on behalf of Torex Retail for XN Checkout Holdings PLC (the
'Offer') were unanimously approved by shareholders.
The First Closing Date of the Offer is 1.00 p.m. on 29 July 2005, by which time
acceptances must be received.
