Netcentric Systems PLC 14 February 2001 Netcentric Systems Plc ('Netcentric' or 'the Company') The board of Netcentric is pleased to announce it has today agreed to the disposal of the entire issued share capital of Manx (Crawley) Limited to Eurocity Properties Plc for a total cash consideration of £400,000 of which £ 100,000 is payable on completion, £150,000 is payable 12 months from the date of completion and £150,000 is payable 18 months following completion. Additional consideration is to be satisfied by the issue of 600,000 new ordinary shares of 50p each in Eurocity Properties Plc, a property company listed on the Alternative Investment Market of the London Stock Exchange ('AIM '), to Netcentric. The Company intends to use its reasonable endeavours to dispose of these shares as soon as reasonably practicable. Eurocity Properties Plc has also agreed to take over the Company's guarantee of the existing Manx (Crawley) Limited borrowings. Manx (Crawley) Limited owns a portfolio of secondary retail properties valued at £2.8 million together with related borrowings of £2.2 million. The property portfolio currently has a gross annual rental income of approximately £300,000. Manx (Crawley) Limited has net liabilities of £309,000 on which it made an annualised profit before exceptional items and taxation of £86,000 in the year to 30 September 2000. The proceeds from the disposal are intended to be utilised to supplement the ongoing working capital requirements of the Group. Mr Desmond Bloom, the former Chairman of the Company is a non-executive director of Eurocity Properties Plc. His son, Mr. Baron Bloom, is its Managing Director. This disposal is accordingly treated as a 'related party transaction' under AIM rules. The Company's Board of Directors believe that, in their opinion, having consulted with the Company's nominated advisor, Noble & Company Limited, the terms of the above transaction are fair and reasonable so far as shareholders of the Company are concerned. This transaction is part of the overall strategy of the Company to dispose of its property portfolio by the end of the current financial year in September 2001.
