Executive Director Performance Share Plan ("PSP") Grant Notification

The Company announces that on 1 June 2021 the Executive Directors noted below were granted awards under the Trainline plc Performance Share Plan in the form of Performance Share Units ("PSUs").

The PSUs will vest subject to stretching performance conditions over a 3-year period ending 28 February 2024 based on the Company's earnings per share ("EPS"), Revenue and relative total shareholder return ("TSR") weighted 25%; 25%; and 50% of the grant respectively. A two-year holding period will apply on vesting, during which vested shares may not be sold save to cover tax liabilities.
