PLACING OF ORDINARY SHARES
On Tuesday, 28 March, in order to satisfy identified
demand, the executive Directors of Transense Technologies
plc and certain other persons were released from the
Standstill Agreement described in the Placing and Open
Offer Document dated 29 November 1999 and issued in
connection with the Company's Admission to AIM and have
sold shares in the Company as follows:

All of these shares were sold at 2130p and were placed
with institutional clients of HSBC Investment Bank plc,
together with a further 675,000 shares sold by
institutional and other clients of Astaire & Partners
Limited, bringing the aggregate number of shares the
subject of this placing to 1,133,764.
Prior to the transaction above described, options were
exercised over a total of 370,396 new 10 pence ordinary
shares at various prices by a former Director and by
SmarTire Systems, Inc. Of the shares arising from these
option exercises, 275,000 formed part of the placing.
Application will be made forthwith for all of the shares
resulting form the option exercises above to be admitted
to AIM, and dealings in these shares are expected to have
commenced by Monday, 3 April.
Following these sales, the executive Directors and the
certain other persons have signed a new Standstill
Agreement by which they have undertaken not to dispose of
any Ordinary shares in the Company prior to 31 December
2001, without the prior consent of the Nominated Adviser
and Nominated Broker save inter alia, certain transfers
to family members, disposals due to an intervening court
order, or a take-over offer relating to the Company
becoming or being declared unconditional, or the death of
the party to the Standstill Agreement.
