TRAVIS PERKINS ACQUIRES JAYHARD FOR £26.5 MILLION
Travis Perkins plc ('Travis Perkins'), one of the UK's leading builders'
merchants, announces that it has acquired the entire issued share capital of
Jayhard Ltd ('Jayhard').
Jayhard has a network of 53 branches selling plumbing and heating products
located throughout the UK. The consideration for the purchase is £26.5million
based on enterprise value subject to final agreement of the net asset value at
completion. The whole of the consideration is payable in cash from existing
resources.
For the year ended 30 June 2003, Jayhard's turnover was £57.2m with underlying
operating profits of £3.0m.
The acquisition of Jayhard will enhance Travis Perkins' expanding network of
specialist plumbing and heating trading outlets, increasing the total to 149,
and will complement the sale of plumbing and heating products from its other
merchant branches. Travis Perkins expects to gain synergies from this.
Frank McKay, Chief Executive of Travis Perkins, said:
'The acquisition of Jayhard further enhances our offering to the plumbing and
heating sector, and is consistent with our strategy of investing in
opportunities for growth and in our chosen areas of product specialisation. We
welcome the management and staff of Jayhard into our group.'
