Results of General Meeting - Placing and Acquisition approved

The Company is pleased to confirm that, at the General Meeting of Trifast plc held today (13 December 2011) at Trifast House, Bellbrook Park, Uckfield, East Sussex TN22 1QW, all resolutions were duly passed.

Following the approval, application has been made for 21,621,622 ordinary shares of 5p each ("Ordinary Shares") to be admitted to listing on the premium segment of the Official List and to trading on the London Stock Exchange's Main Market. It is expected that, admission will become effective and dealings in these shares will commence at 8.00 a.m. on 14 December 2011.

In accordance with DTR 5.6.2 of the FSA's Disclosure Rules and Transparency Rules following this issue the Company's issued share capital comprises 106,867,708 Ordinary Shares with voting rights. No Ordinary Shares are held in treasury. The voting rights of all of the Ordinary Shares are identical. The figure above may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, Ordinary Shares in Trifast under the DTR.
