PROPOSED EQUITY FUNDRAISE

NOTICE OF RESULTS

The Board of Triple Point Social Housing REIT plc (ticker: SOHO) is pleased to announce that, following its most recently announced transactions, the Group has committed £179.2 million (including purchase costs)1 to the acquisition or forward funding of properties, with a current portfolio of 148 regulated supported housing assets (including forward funded assets and those acquisitions which have exchanged but not yet completed). As a result, the Group has now substantially invested the net proceeds raised from its IPO in August 2017.

 

The Company's Delegated Investment Manager, Triple Point Investment Management LLP ("Triple Point"), has access to a significant pipeline of further potential investments and is currently engaged in discussions with various parties (including Approved Providers and developers) in relation to a number of assets that meet the Company's investment criteria and on terms attractive to the Company, and which may potentially be acquired (or, in the case of development opportunities, forward funded) by the Company over the next 12 months. 

 

Proposed additional fundraisings

In order to capitalise on these opportunities, the Company is exploring additional equity and debt funding opportunities.

 

The Board intends to raise up to £200 million through the issue of C shares (being a new class of convertible, non-voting preference shares) (the "C Shares") via a pre-emptive open offer as well as a placing and offer for subscription (the "Issue"). The Issue would be subject to shareholder approval in a General Meeting.  Application would be made for admission of the C Shares to the standard segment of the Official List. A prospectus is expected to be published in early March 2018.

 

Triple Point is also in discussions to put in place a bilateral term facility for the Group with an institutional lender secured over a specific pool of the Group's existing assets. It is currently expected that the debt facility will be entered into in April 2018 and further details regarding any such debt facility will be notified at the appropriate time.

 

Premium listing

The Board also considers that it would be in the best interests of the Company and its shareholders, as a whole, to seek admission of the Company's ordinary shares ("Ordinary Shares") to the premium segment of the Official List of the UK Listing Authority (subject to an eligibility review by the UK Listing Authority) (the "Migration") and to move their trading venue to the premium segment of the Main Market of the London Stock Exchange.  The Migration will be undertaken concurrently with, but independently of, the Issue and the Migration and the Issue are not inter-conditional.

 

Further details regarding the proposed Issue and Migration will be notified in due course but, in any event, not before the publication of the Company's audited results referred to below. 

 

Notice of Results

The Company will announce its audited results for the period ended 31 December 2017 on Friday, 2 March 2018.

NOTES:

The Company invests in social housing assets in the UK, with a particular focus on supported housing. The assets within the portfolio are subject to inflation-adjusted, long-term (typically from 20 years to 30 years), Fully Repairing and Insuring ("FRI") leases with Approved Providers (being Housing Associations, Local Authorities or other regulated organisations in receipt of direct payment from local government). The portfolio comprises investments into properties which are already subject to an FRI lease with an Approved Provider, as well as forward funding of pre-let developments but does not include any direct development or speculative development.

 

There is increasing political and financial pressure on Housing Associations to increase their housing delivery and this is creating opportunities for private sector investors to participate in the market. The Group's ability to provide forward financing for new developments not only enables the Company to secure fit for purpose, modern assets for its portfolio but also addresses the chronic undersupply of suitable supported housing properties in the UK at sustainable rents and delivering returns to investors.

 

Triple Point Investment Management LLP (part of the Triple Point Group) is responsible for management of the Group's portfolio (with such functions having been delegated to it by Langham Hall Fund Management LLP, the Company's alternative investment fund manager).

 

The Company was admitted to trading on the Specialist Fund Segment of the Main Market of the London Stock Exchange on 8 August 2017 and operates as a UK Real Estate Investment Trust.
