Following the issue by Tullow of 64,998,817 ordinary shares of 10p each
('Ordinary Shares') on 9 January 2006 to those shareholders of Hardman Resources
Limited ('Hardman') who elected for share consideration in respect of their
Hardman shares, Tullow's issued capital has increased to 717,005,115 Ordinary
Shares.

Each Ordinary Share carries the right to one vote at general meetings of the
Company's shareholders. The Company does not hold any Ordinary Shares in
Treasury and, therefore, the total number of voting rights in Tullow Oil plc is
717,005,115.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Tullow Oil plc under the FSA's
Disclosure and Transparency Rules.
