Publication of Prospectus

UIL Limited announces that it has today published a prospectus, which has been approved by the UK Listing Authority (the "Prospectus"), in connection with the issue of Ordinary Shares to Permanent Investments Limited as consideration for the acquisition of shares in Somers Limited, a related party transaction more fully described in the circular to Shareholders dated 18 May 2016.

As set out in the Prospectus, two of the conditions to Completion under the Sale and Purchase Agreement have already been satisfied. Certain other conditions are outstanding and Completion will occur upon satisfaction of all the conditions (which must occur by not later than 31 December 2016, being the long-stop date for Completion under the Sale and Purchase Agreement).

Following completion of the outstanding conditions to Completion a further announcement will be made.

A copy of the Prospectus will be submitted to the National Storage Mechanism and will shortly be available for inspection at: www.morningstar.co.uk/uk/NSM and on the Company's website: www.uil.limited.
