Utilico Emerging Markets Limited (the 'Company')

Conversion of Subscription Shares

The Company announces that today it has issued 1,313,708 Ordinary Shares following the exercise of conversion rights by Subscription Shareholders.

Application has been made for the Ordinary Shares to be admitted to the premium segment of the Official List and to trading on the Main Market of the London Stock Exchange. It is expected that dealings in the new Ordinary Shares will commence at 8.00 a.m. on 9 March 2017.

Subject to the listing application, the Company's issued share capital will comprise 212,448,067 Ordinary Shares and 37,828,282 Subscription Shares.

The above figure (212,448,067) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
