Directors' Shareholdings

Utilico Emerging Markets Limited (the "Company") announces that it was notified on 4 October 2011 of the following changes to Directors' shareholdings following purchases of ordinary shares of 10p each in the Company on 4 October 2011 at 134.0p per share. These purchases were made to satisfy the Directors' fees for the quarter ended 30 September 2011.

Mr Zagoreos purchased 7,054 shares; Mr Madeiros purchased 6,497 shares; and, Mr Jillings, Mr Muh and Mr O'Connor each purchased 5,105 shares. The beneficial interests of the Directors in the ordinary shares of the Company as at 4 October 2011 are:
