Directors' interest in shares - Provident Financial Long Term Incentive Scheme

Provident Financial plc announces that Kleinwort Benson (Jersey) Trustees Limited, as Trustees of the Provident Financial plc 2007 Employee Benefit Trust ('the Trust'), has subscribed for 101,989 ordinary shares of 20 8/11p each on 2 June 2009 to satisfy options granted under the Provident Financial Long Term Incentive Scheme 2006 ('Scheme'). 

The Trust is a discretionary employee benefit trust and may benefit employees of Provident Financial plc and its subsidiaries at the discretion of the Trustee. Accordingly, it is noted that the following directors, as potential beneficiaries under the Trust, have an interest in these shares acquired by the Trust:
