NOTIFICATION OF DIRECTORS' SHAREHOLDINGS
The Directors of Victoria P.L.C. ('the Company') have today been notified by the
Trustees of the Victoria Carpets Profit Sharing Scheme ('the Scheme') of the
following changes in Directors' shareholdings.
On 3 January 2003, shortly after the third anniversary of the first allocation
of shares under the Scheme, 335,659 Ordinary shares in the Company were
transferred into the individual names of scheme members. The transferred shares
represent 4.83% of the Company's issued ordinary shares.
The Trustees of the Scheme continue to hold the balance of 6,181 shares,
non-beneficially. Following the transfers, the non-beneficial shareholdings of
those directors of the Company who are also trustees of the Scheme are as
follows:
