Application has been made to the London Stock Exchange Plc and the UK Listing
Authority for 16,555,672 Ordinary shares of US$0.10 each ('shares') to be
admitted to the Official List. It is expected that permission to admit the
shares will be granted on 7 February 2001 and that trading will commence on 09
February 2001.

These shares are being issued as a result of elections received pursuant to
the Scrip Dividend Offer in respect of the interim dividend for the year ended
31 March 2001.

These shares will rank pari passu with the existing issued Ordinary shares.
