Completes sale of Infostrada

                   Sale of Infostrada


Vodafone  Group  Plc  ('Vodafone')  announces  that   its
subsidiary  Mannesmann  AG  has  completed  the  sale  of
Infostrada  S.p.A.  to  Enel S.p.A.  ('Enel')  today,  in
accordance with the revised terms agreed on 16 March 2001
between Vodafone and Enel.

As  a  result,  Vodafone's net debt at 31 March  2001  is
likely to be in the region of £7 billion.
