Vodafone Group Plc ('the Company')
In accordance with Disclosure and Transparency Rule 3.1.4R(1), I have to inform
you that the Company was advised on 17 April 2008 by HSBC Trustee (CI) Limited
that Sir John Bond, Chairman of the Company, acquired the following number of
ordinary shares in the Company, through his participation in the Company's
Dividend Reinvestment Plan. As a result, Sir John's shareholding in the Company
totals 224,926 shares.

* As part of the Return of Capital to shareholders, existing ordinary shares

Accordingly these shares were consolidated into 440 new ordinary shares of
US$0.113/7 on 31 July 2006.
