In accordance with Disclosure and Transparency Rule 3.1.4R(1), I have to inform you that on 26 July 2012, the following directors and persons discharging managerial responsibilities ("PDMRs") of the Company were granted options under the Vodafone Group 2008 Sharesave Plan over the number of ordinary shares of US$0.11³/₇ each in the Company ("Ordinary Shares") shown below at a price of 144.37p per share.
