Directors' Notification of Dealing in Shares

Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that the Company has been advised by the Trustees of the Vodafone Group
Employee Trust (Orbis Pension Trustees Limited) that they have today purchased
the following ordinary shares of US$0.10 each in respect of the restricted
stock 50 per cent portion of the special bonuses awarded by the Remuneration
Committee of the Board, and previously notified to shareholders, for the
following directors of the Company:

C C Gent             1,600,000
J M Horn-Smith         640,000
K J Hydon              640,000

The shares will be held by the Trustees and will vest in two years if
performance targets which have been set by the Remuneration Committee are
achieved.
