VODAFONE SELLS REMAINING STAKE IN ATECS MANNESMANN
Vodafone Group Plc ('Vodafone') today announces that its subsidiary Vodafone
AG has exercised its option to sell to Siemens AG ('Siemens') its 50% less 2
shares stake in the Atecs Mannesmann engineering and automotive businesses for
a cash consideration of EUR 3.657 billion. The consideration is due to be
paid by Siemens before the end of March 2002.

Vodafone announced terms of an agreement to sell Atecs Mannesmann on 17 April
2000, including details of the option referred to above. A payment of EUR
3.116 billion was made to Vodafone in September 2000 for a 50% plus 2 shares
stake and completion of the sale, following regulatory clearance from the
relevant European Union and US authorities, was announced on 17 April 2001.
