 DISPOSAL OF HOLDING IN RUHRGAS



Vodafone Group Plc announces today that, following permission from the German
Ministry of Economics, its subsidiary Vodafone AG has completed the sale to E.ON
AG of its 23.6% stake in Bergemann GmbH through which it holds an 8.2% stake in
Ruhrgas AG. The total cash, which has already been received, was approximately
Eur903 million, including dividends and accrued interest.
