              VODAFONE ACQUIRES FURTHER 2.2% IN SPAIN ON EXERCISE
                            OF PUT OPTION BY TORREAL


Vodafone Group Plc ('Vodafone') announces that it has today acquired a further
2.2% stake in Airtel Movil, S.A. ('Vodafone (Spain)') for the Euro equivalent of
approximately £0.4 billion following the exercise of a put option held by
Torreal, S.A.

Vodafone's equity interest in Vodafone (Spain) is now 93.8%.
