              Potential sale of Infostrada

Vodafone  Group  Plc announces that it has  entered  into
exclusive  discussions  with Wind  concerning  Infostrada
which  may lead to the acquisition of Infostrada by Wind.
Wind is a fixed and mobile telecoms operator in Italy and
is 56.63% owned by Enel S.p.A. and 43.37% owned by France
Telecom SA.

Infostrada is a wholly owned subsidiary of Mannesmann  AG
and  any  such sale would be subject to approval  by  the
Mannesmann Supervisory Board.
